This agreement will be governed by the following terms and conditions:

1. This agreement will be governed by the laws of the State of Michigan, USA.

2. Music That Matters.com will pay you (the 'Partner') a commission of xx% of net retail from sales eminating from your website and xx% of net retail from sales eminating from websites of partners that you personally referred on every sale of CD sales offered by Music that Matters.com

3. Music That Matters.com will make commission payments to you on a monthly basis for the preceding month and checks will be mailed to all partners by regular U.S. mail on or by the 15th day of the following month for which commissions are due. Commissions will be credited to partners only when the payment for the sale is cleared. If the buyer requests a refund at a later time, the original commission credited will be deducted. Commissions will be paid starting in June 2000 for sales occurring in the month of May 2000 and each month following.

4. This agreement is purely for giving a commission on sales effected through referrals by partner's Music That Matters.com  website. The term, 'partner', does not imply any formal association with Music That Matters.com

5. The partner will have online access to his or her sales, commission and organizational data through a user/password protected webpage provided upon registration.

6. The partner is not permitted to represent Music That Matters.com  in any way other than displaying the Music that Matters website, banners or ad copy provided. You must request written permission to use trademarks or other materials that are the property of Music That Matters.com for promotions other than your Music That Matters website.

7. Music That Matters.com reserves the right to alter the rate of commission with 7 day notice to partner by E_mail. Any credit accumulating after such change will be at the new rate.

8. Music That Matters.com reserves the right to change the product prices with 7 days notice to partner by E_mail.

9. Music That Matters.com will not be responsible for any technical failure that may result in the user's clicks going unregistered. Any such technical failure will be addressed by Music That Matters.com immediately after discovery. An attempt to verify for proper commission credit will be undertaken by Music That Matters.com

10. The commissions as stated in (2.) are due and payable only when amount is $50.00 U.S. or greater. Such payment will be through a check in US currency, drawn on a US bank account in the U.S., equivalent to the US dollar amount at the prevailing exchange rate on the date of issue. Should Music That Matters.com decide to cease operations, 30 days notice to all partners will given by email so that they will have the opportunity to reach the minimum payment level.

11. Music That Matters.com will not accept responsibility for clearing partner checks at their financial institutions.

12. Any correspondence relating to loss of the check in mail, or inability to cash the check, must be made by partner within a reasonable time so a decision can be made on alternative payment method(s).

13. Any tax liability on the amount of commission received will be the partner's responsibility.

14. Music That Matters.com reserves the right to terminate any partner without notice for sending any unsolicited email (spam, UCE) or for misrepresenting Music That Matters or the Music That Matters Partner Program in any way. If partner is terminated for such reason, Music That Matters.com will withold any outstanding amount in their credit for a period of one year to determine if such actions caused any financial harm to Music That Matters.com.  Any such amount attributable to such actions by partner will be deducted from outstanding amount in their credit and any remaining balance will be mailed to partner during the month following the one year period.

15. Music That Matters.com will supply the partner with a webpage or website by method of self-replication whereby the Music That Matters.comt  website is created via software by partner. Partner website will be hosted free of charge to Partner on a server of Music That Matters.com's choosing and will link directly to the Music That Matters.com  online ordering webpage. No additions or deletions may be made to the Music That Matters.com  website. Music That Matters.com reserves the right to place banners or other promotional materials on said webpage or website.

16. It should clearly be understood that a direct correlation between 'click-throughs' and sales may not exist. All operations are automatic (or semi-automatic) and hence no valid sales referred by you will go unrecorded. 

17. No Partner shall set up or attempt to set up any kind of reseller, affiliate, referral, associate, bounty or any program whereby Partner sells product(s) in the Music That Matters.com  program through other entities.

18. Partners agree and accept that email shall be sent to them by Music That Matters.com in the form of newsletters and updates either in the name of Music That Matters.com or The Mirror, the weekly newsletter of Interniche.net.
